3. Project Quotations and Pricing
Every project will be assessed according to its requirements, technical complexity, estimated development time, features and resources required.
Richems Digital will provide a quotation or project proposal before commencing a paid project.
The quotation may specify:
- Project description and objectives.
- Services included in the project.
- Features and functionalities to be developed.
- Project cost and payment schedule.
- Estimated delivery period.
- Number of included revisions.

A quotation remains valid for the period stated on the quotation. Where no validity period is specified, Richems Digital may request reconfirmation of pricing before accepting the project.
Any change in the project requirements after quotation approval may result in an adjustment to the original price and delivery schedule.
4. Payment Structure and Schedule
Richems Digital operates a structured payment arrangement designed to protect both the customer and the service provider.
For standard website development and other qualifying projects, the payment arrangement is:
Required before project commencement.
Payable upon completion of the agreed project.
4.1 Initial Payment – 70%
The customer is required to pay 70% of the approved project price before Richems Digital begins the project.
The initial payment covers:
- Project scheduling and allocation of development time.
- Initial design and development activities.
- Technical planning and project preparation.
- Initial research and implementation.
- Other project-related work and resources.
The project will not officially commence until the initial payment has been received and confirmed.
4.2 Final Payment – 30%
The remaining 30% becomes payable when Richems Digital has completed the agreed project scope and presented the completed work to the customer for review.
The customer will have an opportunity to inspect the completed project and identify any outstanding issues that fall within the original approved scope.
Once the agreed deliverables have been completed and the customer has confirmed acceptance, the outstanding balance must be settled before final handover, transfer of ownership or release of restricted project materials.
4.3 Example of Payment Calculation
| Project Price | 70% Initial Payment | 30% Final Payment |
|---|---|---|
| ₦100,000 | ₦70,000 | ₦30,000 |
| ₦200,000 | ₦140,000 | ₦60,000 |
| ₦300,000 | ₦210,000 | ₦90,000 |
| ₦500,000 | ₦350,000 | ₦150,000 |
4.4 Special Payment Arrangements
Certain projects may require alternative payment structures depending on their size, complexity, duration or third-party expenses.
Any alternative payment arrangement must be agreed upon in writing by both parties before project commencement.
Richems Digital reserves the right to request full payment in advance for smaller services, one-time design tasks, consultations, urgent services or projects involving non-refundable third-party expenses.
5. Payment Methods and Security
Customers may make payments using the payment methods officially provided or approved by Richems Digital.
Available payment methods may include:
- Secure online payment gateways.
- Bank transfers to officially designated business accounts.
- Other payment methods expressly approved by Richems Digital.
Where Paystack or another payment gateway is used, customers will be directed to the appropriate secure payment interface.
Customers should ensure that they enter the correct payment amount and provide accurate transaction details.
5.1 Payment Confirmation
A payment is considered received only after successful confirmation by the payment provider or the designated receiving financial institution.
Screenshots, payment notifications or transfer receipts may be requested for verification, but they do not independently establish that funds have been received.
5.2 Payment Security
Richems Digital will not request a customer’s ATM PIN, online banking password, card PIN or one-time password (OTP).
Customers should never share confidential banking information with anyone claiming to represent Richems Digital.
Third-party payment providers may process payment information under their own security and privacy policies.
6. Project Commencement
A project will officially commence when the following conditions have been satisfied:
- The customer has approved the quotation or project proposal.
- The required initial payment has been received.
- The customer has supplied the necessary project information and materials.
- Both parties have agreed on the project scope and relevant requirements.
Richems Digital is not obligated to reserve development time or begin work before the agreed commencement conditions have been fulfilled.
7. Project Timelines and Delivery
Every project will have an estimated delivery period based on its scope and complexity.
The estimated timeline will normally begin after payment confirmation and receipt of all essential customer materials.
Delivery timelines may be affected by:
- Late submission of required information or content.
- Delayed customer feedback or approvals.
- Changes to the original project requirements.
- Technical problems involving third-party platforms.
- Domain, hosting or payment gateway verification delays.
- Unforeseen technical or operational circumstances.
Where a delay occurs, Richems Digital will communicate relevant information to the customer and, where reasonably possible, provide an updated delivery estimate.
Richems Digital will make reasonable efforts to complete projects within the agreed timeline but will not guarantee a specific delivery date where delays are caused by circumstances outside its reasonable control.
8. Customer Responsibilities
Successful project delivery requires cooperation between Richems Digital and the customer.
The customer agrees to:
- Provide accurate business information and project instructions.
- Supply website text, images, logos and other required materials.
- Provide legitimate access credentials where necessary.
- Ensure they have permission to use supplied images, fonts, documents and other materials.
- Review submitted designs and project demonstrations promptly.
- Provide clear and reasonable feedback.
- Make payments according to the agreed payment schedule.
- Avoid making unauthorised changes to the project during development.
- Maintain the security of their website and account credentials after handover.
The customer is responsible for the accuracy and legality of information and materials supplied to Richems Digital.
Richems Digital will not knowingly use materials that infringe third-party rights. However, responsibility for customer-supplied materials remains with the customer.
9. Revisions and Additional Work
Richems Digital understands that customers may need reasonable adjustments during the design and development process.
The number of revisions included in a project will be specified in the approved quotation or proposal.
Unless otherwise agreed, the following conditions apply:
- Revisions must relate to the original approved project scope.
- Customers should provide feedback in a clear and organised manner.
- Minor adjustments within the agreed scope will be handled according to the included revision allowance.
- New features, additional pages or substantial design changes may attract extra charges.
- Requests that substantially change the original project direction may require a new quotation.
9.1 What Counts as Additional Work?
Examples include:
- Adding new website sections or pages not originally agreed upon.
- Adding new payment methods or integrations.
- Developing additional website functionalities.
- Changing an approved website design substantially.
- Adding e-commerce functionality to a basic business website.
- Writing additional website content beyond the agreed quantity.
- Integrating additional third-party applications.
Richems Digital will communicate additional charges and obtain customer approval before undertaking chargeable additional work.
10. Project Approval and Completion
A project will be considered substantially complete when the agreed services and deliverables have been implemented and made available for customer review.
Richems Digital will notify the customer when the project is ready for review.
The customer should review the completed work and communicate any issues relating to the original project scope within five (5) business days of receiving the completion notification.
Where the customer identifies a genuine outstanding issue within the agreed scope, Richems Digital will review and address it within a reasonable period.
Where no response is received within the review period, Richems Digital may send a reminder and request confirmation of acceptance.
Customer silence alone will not automatically be treated as final acceptance or as a waiver of any applicable statutory rights.
10.1 Final Handover
Final handover may include:
- Website administrator access.
- Transfer of agreed website files and deliverables.
- Approved design files, where included in the quotation.
- Necessary instructions for accessing the completed project.
- Transfer of agreed ownership rights after full payment.
Final handover and transfer of ownership are subject to settlement of all outstanding project fees.
11. Ownership and Intellectual Property
Richems Digital respects the ownership rights of its customers and third-party creators.
11.1 Customer Ownership
After full payment has been received, the customer will receive ownership or the agreed usage rights to the custom project deliverables created specifically for that customer, subject to the following conditions:
- All outstanding invoices must be settled.
- Third-party materials remain subject to their original licences.
- Open-source software remains subject to its applicable licence.
- Commercial fonts, plugins, stock images and other licensed assets remain subject to their respective terms.
11.2 Richems Digital’s Existing Materials
Richems Digital retains ownership of its pre-existing tools, development methods, reusable code, frameworks, internal systems, templates and general technical knowledge.
Where such materials are incorporated into a customer’s project, the customer receives the rights necessary to use the completed project as agreed, subject to applicable third-party licences.
11.3 Work Before Full Payment
Before full payment, ownership of unpaid custom deliverables remains with Richems Digital to the extent permitted by applicable law.
Customers must not reproduce, resell, distribute, commercially exploit or transfer unpaid project materials without written permission.
11.4 Portfolio Rights
Unless otherwise agreed in writing, Richems Digital may display completed public-facing projects, screenshots or non-confidential design samples in its professional portfolio and promotional materials.
Richems Digital will not intentionally publish customer passwords, confidential documents or private business information as portfolio content.
Customers who require a confidential or non-public project arrangement should communicate this requirement before project commencement.
12. Domain, Hosting and Third-Party Services
Some digital projects require external services such as domain registration, website hosting, premium plugins, themes, email services, SSL certificates or payment gateways.
These services may involve separate charges that are not automatically included in the website development fee.
12.1 Domain Ownership
Where a domain is registered specifically for a customer, the customer should be identified as the registrant or rightful account holder wherever the registrar’s procedures allow.
Richems Digital may assist with domain registration, configuration and renewal management.
Customers are responsible for domain renewal fees and should maintain access to their domain registrar account.
12.2 Hosting Services
Where hosting is purchased on behalf of a customer, the hosting package, renewal terms and account ownership arrangements will be communicated before purchase.
Hosting subscriptions are subject to the hosting provider’s terms and renewal policies.
12.3 Third-Party Services
Richems Digital may integrate third-party services including:
- Paystack and other payment providers.
- Google services and analytics tools.
- WordPress themes and plugins.
- Hosting and domain providers.
- Email marketing and communication platforms.
- External booking and business management systems.
Richems Digital is not responsible for outages, policy changes, price increases, account restrictions or discontinuation caused by independent third-party providers.
Where a third-party service fails, Richems Digital will make reasonable efforts to assist with troubleshooting within the agreed project scope.
13. Cancellation and Termination
Either party may request termination of a project subject to the conditions outlined in this section.
13.1 Customer Cancellation
A customer who wishes to cancel a project must notify Richems Digital in writing.
Upon cancellation, Richems Digital may calculate the following:
- The value of work already completed.
- Time and professional resources already committed.
- Approved third-party expenses incurred for the project.
- Any outstanding contractual obligations.
Any refund due will be calculated fairly after accounting for legitimate amounts payable for work performed and non-recoverable expenses, subject to applicable law.
13.2 Termination by Richems Digital
Richems Digital reserves the right to suspend or terminate a project where:
- The customer repeatedly fails to make agreed payments.
- The customer requests unlawful or fraudulent activities.
- The customer supplies misleading or unlawful materials.
- The customer engages in abusive, threatening or seriously inappropriate conduct.
- The customer repeatedly fails to provide essential project information after reasonable reminders.
- Continuing the project becomes technically or legally impractical.
Where reasonably possible, Richems Digital will notify the customer and provide an opportunity to resolve the issue before termination.
13.3 Project Suspension
Where payment obligations are not fulfilled or essential customer information is outstanding, Richems Digital may temporarily suspend project activities.
Any resulting change to the original delivery schedule will be communicated to the customer.
14. Refund Policy
Richems Digital aims to maintain a fair and transparent refund process.
Because digital services involve professional time, custom development, creative work and project-specific resources, refunds are assessed according to the circumstances of each case.
14.1 Circumstances Where Refunds May Apply
A customer may be eligible for a full or partial refund where:
- Richems Digital is unable to commence or deliver the agreed service and no reasonable alternative is accepted.
- Richems Digital terminates a project without a valid contractual reason and has not provided the paid-for services.
- An amount has been paid in error or duplicated.
- A payment has been made for a service that cannot be supplied.
- Applicable consumer protection laws require a refund.
14.2 Circumstances Where Full Refunds May Not Apply
A full refund may not be appropriate where:
- Substantial project work has already been completed.
- Custom designs or development work have already been produced.
- Approved third-party expenses have already been incurred and cannot be recovered.
- The customer changes their mind after substantial work has been performed.
- The project has been completed in accordance with the approved scope.
Any amount retained must be reasonably connected to work performed, legitimate costs or other lawful contractual entitlements.
14.3 Refund Requests
Customers requesting a refund should contact Richems Digital with:
- Full name or business name.
- Project reference or invoice number.
- Payment date and amount.
- Payment reference where available.
- Reason for the refund request.
Refund requests will be reviewed and a decision communicated within a reasonable period.
Approved refunds will normally be processed through the original payment method where possible, subject to payment provider procedures.
15. Maintenance and Technical Support
Unless specifically included in the approved quotation, website development fees do not automatically include unlimited maintenance or lifetime technical support.
The customer may purchase additional maintenance services where available.
Maintenance services may include:
- WordPress updates.
- Plugin and theme updates.
- Website security checks.
- Routine website backups.
- Minor content updates.
- Technical troubleshooting.

Where a project includes a post-delivery support period, its duration and coverage will be specified in the quotation or project agreement.
Support for correcting genuine defects attributable to Richems Digital’s work within the agreed scope will be provided in accordance with the applicable project warranty or support arrangement.
Support does not automatically cover problems caused by:
- Unauthorised modifications by the customer or another developer.
- Third-party plugin or hosting failures.
- Expired subscriptions or licences.
- Malware introduced after handover.
- Customer account compromise.
- Changes made outside the original project scope.
16. Website Security and Backups
Richems Digital will take reasonable technical measures to implement and configure websites according to the approved project requirements.
However, no website or online platform can be guaranteed to remain completely free from cyberattacks, technical failures or security vulnerabilities.
Customers are encouraged to:
- Use strong passwords.
- Enable two-factor authentication where available.
- Keep website software updated.
- Maintain regular backups.
- Restrict administrator access to authorised individuals.
- Renew hosting, domains and relevant software licences.
Unless expressly included in a maintenance agreement, ongoing backups, monitoring and security management remain the customer’s responsibility after handover.
17. SEO, Advertising and Marketing Disclaimer
Richems Digital may provide basic search engine optimisation, website structure improvements, content arrangement and other digital marketing-related services.
However, website development and SEO services do not guarantee:
- First-page Google rankings.
- A specific position in search engine results.
- A particular number of website visitors.
- A guaranteed number of enquiries or sales.
- Approval by Google AdSense or other advertising networks.
- Guaranteed business growth or financial returns.
Search engine rankings, advertising performance and customer purchasing behaviour are influenced by numerous factors outside the direct control of Richems Digital.
Any marketing or advertising performance targets must be separately documented and expressly agreed upon before they can form part of a project commitment.
18. Confidentiality and Privacy
Richems Digital recognises that customers may share confidential business information, website credentials, documents and other sensitive project materials.
We will take reasonable steps to protect customer information and use it only for legitimate business, communication, project delivery and legal purposes.
Customers are encouraged to provide only the access and information necessary to complete their projects.
Richems Digital will not intentionally disclose confidential customer information to unauthorised individuals, except where disclosure is authorised by the customer or required by applicable law.
Personal information will be handled in accordance with applicable Nigerian data protection requirements and the website’s Privacy Policy.

- Loss of revenue caused by market conditions or customer decisions.
- Changes to third-party software, services or platform policies.
- Problems caused by customer modifications after handover.
- Indirect or consequential losses that were not reasonably foreseeable.
Where Richems Digital is legally liable for a claim arising directly from a project, its liability will be assessed according to applicable law and the specific circumstances of the claim.
Nothing in this agreement excludes liability that cannot lawfully be excluded or restricted, including applicable statutory consumer rights.
20. Unforeseen Circumstances
Neither party shall be considered in breach of this agreement solely because of a delay or failure caused by circumstances reasonably beyond their control.
Such circumstances may include:
- Natural disasters.
- Government restrictions or regulatory actions.
- Major internet or telecommunications outages.
- Power infrastructure failures.
- Cybersecurity incidents affecting essential service providers.
- War, civil unrest or other serious emergencies.
- Unexpected third-party service interruptions.
The affected party should notify the other party as soon as reasonably possible.
Both parties will make reasonable efforts to reduce the impact and agree on appropriate next steps.
21. Dispute Resolution
Richems Digital believes that professional communication and mutual understanding are important in resolving project disagreements.
Where a dispute arises, both parties agree to make reasonable efforts to resolve the matter through direct communication.
The recommended resolution process is:
- The affected party communicates the issue in writing.
- Both parties review the original quotation, payment records and project requirements.
- Richems Digital and the customer discuss possible solutions.
- Where necessary, both parties may agree to mediation or another appropriate dispute resolution process.
Where an agreement cannot be reached, either party may pursue available legal remedies through the appropriate legal channels.
22. Governing Law and Jurisdiction
This agreement shall be interpreted in accordance with the applicable laws of the Federal Republic of Nigeria.
Subject to applicable legal requirements, disputes arising from this agreement may be brought before a court of competent jurisdiction in Nigeria.
Nothing in this provision prevents a customer from exercising any mandatory legal right to seek redress before an appropriate consumer protection authority or competent court.
23. Changes to These Terms
Richems Digital reserves the right to update this Payment Policy & Project Terms document when necessary to reflect changes in business operations, services, technology or applicable legal requirements.
The updated version will be published on the official Richems Digital website with an updated effective date.
Material changes to an existing project agreement will not automatically override terms already agreed upon by both parties unless the parties agree to the change or applicable law permits it.
Customers are encouraged to review this page before entering into a new project agreement.
24. Entire Agreement and Written Amendments
This document, together with the approved quotation, project proposal, invoice and any written amendments, forms the contractual understanding between Richems Digital and the customer for the relevant project.
Where a specific project proposal contains a different term from this general policy, the specific written project agreement will take priority for that project to the extent of the inconsistency, provided that the term is lawful.
Any amendment to an approved project arrangement must be confirmed in writing by both parties.
No verbal promise or informal statement shall override a written project agreement unless subsequently confirmed in writing.
25. Customer Acceptance and Agreement
By engaging Richems Digital for any service, approving a quotation or project proposal, or making the agreed initial payment, the customer acknowledges that:
- They have been given the opportunity to read and understand these terms.
- They understand the agreed project scope and pricing.
